This Reseller Agreement ("Agreement") is hereby made and entered into by and between ("Reseller") and N1 Critical Technologies, Inc. (N1C) ("Manufacturer"), each having their respective place of business at the address listed on the signature page hereof. As used herein, Manufacturer or Reseller may each individually and separately be referred to as a "Party" and together as the "Parties". The effective date hereof shall be the date on which the last signing party hereto affixes its signature ("Effective Date"). The Term of this Agreement will be 2 years from the Effective Date.
