THIS TRANSMISSION FACILITIES AGREEMENT (this “Agreement”) is made, dated and effective as of , 20 (the “Effective Date”), between City of Whitewater, a municipal corporation, (together with their successors, assigns and heirs, “Owner”), and Whitewater Solar, LLC, a Delaware limited liability company whose principal business address is 320 N. Sangamon St. #1025 Chicago, Illinois 60607 (together with its transferees, successors and assigns, “Company”), and in connection herewith, Owner and Company agree, covenant and contract as set forth in this Agreement. Owner and Company are sometimes referred to in this Agreement as a “Party” or collectively as the “Parties”.
