Reference is made to the Engagement Letter dated the date hereof (the “Engagement Letter”) between Morgan Stanley Senior Funding, Inc. and/or an affiliate thereof (“Morgan Stanley”), Credit Suisse AG (acting through such of its affiliates or branches as it deems appropriate, “CS”), Credit Suisse Securities (USA) LLC (“CS Securities” and, together with CS and their respective affiliates, “Credit Suisse”) and The Bank of Tokyo-Mitsubishi UFJ, Ltd., a member of MUFG, a global financial group (“MUFG”); and together with Morgan Stanley and Credit Suisse, “we” or “us”) and you regarding the Transactions described therein. Capitalized terms used but not otherwise defined herein are used with the meanings assigned to such terms in the Engagement Letter. This Fee Letter (this “Fee Letter”) is the “Fee Letter” referred to in the Engagement Letter.
