THIS REIMBURSEMENT AGREEMENT (as amended, modified and/or supplemented from time to time, this “Agreement”) is entered into as of October 1, 2010, among the CITY OF STOCKTON, a municipal corporation and chartered city duly organized and existing under and by virtue of the Constitution and laws of the State of California and its charter (the “City”), STOCKTON PUBLIC FINANCING AUTHORITY, a joint exercise of powers entity duly organized and existing under and by virtue of the laws of the State of California (the “Authority”), and UNION BANK, N.A., as the issuer of the hereinafter defined Letter of Credit (in such capacity, the “Bank”).
