Unless otherwise specifically detailed in writing and signed by the parties hereto (sometimes referred to herein as a "Party" and collectively as "Parties"), the following Standard Terms & Conditions ("Terms") apply to all contracts, agreements, Purchase Orders, SOWs (as defined below), formal Change Orders (as defined below), and business relations of any kind (collectively referenced herein for convenience as an "Order"), between Volkswagen Group Canada Inc., and its Affiliates (collectively, "VGCA") and its suppliers (each, a "Supplier").
