This Continuing Disclosure Agreement (the “Disclosure Agreement”) is executed and delivered by the Monterey Regional Waste Management District (the “District”) and The Bank of New York Mellon Trust Company, N.A. in its capacities as Trustee and Dissemination Agent (the “Trustee” and “Dissemination Agent”), in connection with the Monterey Regional Waste Management Authority Integrated Waste Management System Revenue Bonds, Series 2015A (Non-AMT) and Series 2015B (AMT) (the “Bonds”). The Bonds are being issued pursuant to a Trust Agreement, dated as of May 1, 2015 (the “Trust Agreement”), between the Monterey Regional Waste Management Authority (the “Authority”) and the Trustee. The District, the Dissemination Agent and the Trustee covenant and agree as follows:
