This Software Service Agreement (“Agreement”) is made as of (the “Effective Date”) between Philips Lighting North America Corporation (“Philips”) and Village of Rye Brook, NY (“Customer”) and governs the use of the CityTouch software service by Customer. Each of Philips and Customer are individually referred to herein as a “Party” and, collectively, as the “Parties.”
