THIS ASSIGNMENT AGREEMENT (this “Assignment Agreement”), dated as of 1, 20 , is by and between the SAN DIEGO FACILITIES AND EQUIPMENT LEASING CORPORATION, a nonprofit public benefit corporation organized and existing under and by virtue of the laws of the State of California (the “Corporation”), and the PUBLIC FACILITIES FINANCING AUTHORITY OF THE CITY OF SAN DIEGO, a joint exercise of powers entity existing under and virtue of the laws of the State of California (the “Authority”).
