The Investment Agreement describes an expectation that the sales of Common Stock to the Investors and Other Investors will not exceed “$515 million ($550 million minus the expected $35 million purchase price of the shares that would be issuable on exercise of rights expected to be issued in the Rights Offering).” The Company and the Investors now agree that the sales of Common Stock to the Investors and Other Investors will not exceed $525 million ($562.3 million minus the expected $37.3 million purchase price of the shares that would be issuable on exercise of rights expected
