THIS CREDIT AGREEMENT (this “Agreement”), dated as of August 12, 2020, is made by and among EMERALD PERFORMANCE MATERIALS, LLC, a Delaware limited liability company, as borrower (the “Borrower”), EPM Kalama Chemical Holding Corp., a Delaware corporation (“EPM Kalama”) and EPM Polymer Additives Holding Corp., a Delaware corporation (“EPM Polymer”) as the “Holdings Entities” and each individually, a “Holdings Entity” (the Holdings Entities collectively, “Holdings”), certain Restricted Subsidiaries (as hereinafter defined) from time to time party hereto, as Subsidiary Guarantors (as hereinafter defined), the banks and financial institutions listed on the signature pages hereto or that become parties hereto on or after the Closing Date (as hereinafter defined), as Lenders (as hereinafter defined) and CREDIT SUISSE AG, CAYMAN ISLANDS BRANCH (“Credit Suisse”), as administrative agent for the Lenders and collateral agent for the Secured Parties (as hereinafter defined).
