In connection with the potential participation by [Entity Name] (“you”) with an affiliate of Skyline Owner LLC (the “Company”) in a potential sale of the properties set forth on Exhibit A attached hereto (a “Potential Transaction”), the Company is prepared to make available to you and your Representatives (as defined below) certain confidential and proprietary information relating to the Company, the Potential Transaction and/or the Company’s or one or more of its affiliates’ business.
