This Class Action Settlement Agreement and Release including the referenced Exhibits (“Agreement”) is made for the sole purpose of attempting to consummate settlement of the above captioned actions (the “Litigation”) on a class action basis. This Agreement and the settlement it evidences is made in compromise of disputed claims. Because this Agreement purports to settle the Litigation on a class action basis, this settlement must receive preliminary and final approval from the Court. Accordingly, the Settling Parties enter into this Agreement and associated settlement on a conditional basis that the Court enter an Order Granting Final Approval of the Settlement and Judgment (“Final Approval Order”). In the event that the Court does not execute and file the Final Approval Order, or in the event that the Final Approval Order does not become Final for any reason, this Agreement shall be deemed null and void ab initio, it shall be of no force or effect whatsoever, it shall not be referred
