This Memorandum of Understanding (the "MOU") is made as of the _17th_ day of December, 2018 ("Execution Date"), by and among the City of Fishers, Indiana, an Indiana Municipal Corporation ("City"), Browning Investments, LLC, an Indiana limited liability company ("Developer") and Browning Real Estate Properties, LLC ("BREP"), an Indiana limited liability company. City, BREP and Developer may be jointly or collectively referred to herein as the "Parties".
