This Time Tailor License Agreement (the “TT Agreement”) and the attached Standard Terms and Conditions (the “T&C’s”), that are herein incorporated by reference, are collectively referred to as the “Agreement”. This Agreement is made as of , 2011 (the “Effective Date”). The Time Tailor is proprietary, patented software that is bundled with and embedded in a 6U hardware unit (the “TT Unit”). As used herein, the term Time Tailor includes the proprietary software and the TT Unit. This Agreement sets forth the terms and conditions under which Prime Image Technology Solutions, LLC. (“Prime Image”) will license the Time Tailor to Customer, and Customer will license the Time Tailor from Prime Image.
