This Licence Agreement (the “Agreement”) is made as of the date of last signature (the “Effective Date”) by and between the Medicines Patent Pool Foundation, a non-profit foundation registered under the laws of Switzerland, and having a principal place of business at Rue de Varembé 7, Geneva 1202, Switzerland (“MPP”) and the Bill & Melinda Gates Medical Research Institute, a non-profit medical research organization registered under the laws of the state of Washington, USA, having a principal place of business at One Kendall Square, Building 600, Suite 6-301, Cambridge, Massachusetts, USA 02139 (“Licensee”). Each of MPP and Licensee is referred to in this Agreement as a Party. MPP and Licensee are collectively referred to in this Agreement as the Parties.
