entered into as of December 29, 2015 by and among: (a) SEAKER & SONS, a California partnership (as more particularly defined below, the "Subordinated Creditor"); (b) GUMP'S CORPORATION, a California corporation and GUMP'S BY MAIL, INC., a Delaware corporation (collectively, the "Companies" and each, individually, a "Company"), and GUMP'S HOLDINGS, LLC, a Nevada limited liability company ("Parent"); and (c) NEWSTAR BUSINESS CREDIT, LLC, as agent for the Senior Lenders (as defined below) (the "Senior Agent"), in consideration of the mutual covenants herein contained and mutual benefits to be derived herefrom.
