RECITALS WHEREAS, Merchant operates retail stores and desires that the Consultant provide consulting services to Merchant with respect to Merchant's (a) sale of all of the Merchandise (as hereinafter defined) from Merchant's one hundred forty seven (147) retail store locations identified on Exhibit A attached hereto (each individually a "Store," and collectively the "Stores") and Merchant's distribution center identified on Exhibit B attached hereto ("DC")
