The Company and the Executive currently are parties to an Employment Agreement dated December 15, 2005 (the “Existing Employment Agreement”). The parties wish to amend and restate the Existing Employment Agreement to provide for the employment of the Executive as Senior Vice President and Chief Operating Officer of the Company as of the date first above written (the “Effective Date”) and subject to the terms provided herein.

The parties wish to amend and restate the Existing Employment Agreement to provide for the employment of the Executive as President and Chief Executive Officer of the Company as of the date first above written (the “Effective Date”) and subject to the terms provided herein.
