The undersigned selling security holder, Banco Nacional de Panamá (the “Seller”), acting not in its individual capacity but solely as trustee of the Fondo Fiduciario para el Desarrollo (the “Fund”), a trust fund formed and existing under the laws of the Republic of Panama (the “Republic” or “Panama”), agrees to sell to the Underwriters named in this Terms Agreement, on and subject to the terms and conditions of the Underwriting Agreement (the “Underwriting Agreement”) attached hereto as Schedule C in connection with the sale of the following Offered Securities on the following terms:

In addition, the Republic and the Seller hereby acknowledge and agree that (i) the Underwriters are acting solely in the capacity of arm’s length contractual counterparties to the Republic and the Seller in connection with the purchase and sale of the Offered Securities, including the determination of the offering price, and not as financial advisors or fiduciaries to, or agents of, the Republic, the Seller or any other person, (ii) the Underwriters have not assumed an advisory or fiduciary responsibility in favor of the Republic or the Seller with respect to the offering contemplated hereby or the process leading thereto (irrespective of whether the Underwriters have advised or are currently advising the Republic or the Seller on other matters) or any other obligation to the Republic or the Seller except the obligations expressly set forth in this Terms Agreement and the Underwriting Agreement and (iii) the Republic and the Seller have consulted their own legal and financial advisors
