This Agreement, including Amendment No. 1 (TRO Amendment) hereto (“Agreement”) shall be deemed effective as of November 5, 2004 (the “Effective Date”), between Massachusetts Local Telephone Company, Inc. (“MLTC”), a corporation organized under the laws of the Commonwealth of Massachusetts, with offices at 1953 Dorchester Avenue, Dorchester, MA 02124 and Verizon New England Inc., d/b/a Verizon Massachusetts (“Verizon”), a corporation organized under the laws of the State of New York with offices at 185 Franklin Street, Boston, MA 02110 (Verizon and MLTC may be referred to hereinafter, each, individually as a “Party”, and, collectively, as the “Parties”).
