The undersigned, Cavico Corp., a company formed under the laws of Delaware (collectively, with its subsidiaries , including, without limitation, all entities disclosed or described in the Registration Statement (as hereinafter defined) as being subsidiaries of the Company, the “Company”), hereby confirms its agreement with Rodman & Renshaw, LLC, who has agreed to act as representative (the “Representative “ or “you”) of the underwriters named in Schedule A (the “Underwriters”) as follows:
