This TERMINATION AGREEMENT (this “Agreement”), dated as of July , 2009, is among SAN BERNARDINO COUNTY, CALIFORNIA, a political subdivision organized and existing under the laws of the State of California, as lessee (the “County”), the INLAND EMPIRE PUBLIC FACILITIES CORPORATION, a nonprofit, public benefit corporation organized and existing under the laws of the State of California, as lessor (the “Corporation”), and WELLS FARGO BANK, NATIONAL ASSOCIATION, as successor trustee for the within- mentioned Certificates (the “Trustee”).
