The terms of this sale between you (“customer”) and Highland Metals (“HMI”) are governed by the Terms contained herein, unless there is a separate Agreement between the parties, in which the terms of the Agreement shall control. No verbal representations or promises nor anything contained in any PO or any other document shall amend, alter, or modify the Agreement unless it is specified in a written amendment signed by both parties. In the event that the Agreement is silent, then the Terms herein shall control. In the event that no Agreement is in place, or such Agreement is found to be defective or otherwise unenforceable, the following terms apply to this sale (“Sale Order Acknowledgement”):
