This Retainer & Consulting Agreement (the "Agreement") is made and entered into by and between Puget Technologies, Inc., a Nevada corporation (the "Client") subject to reporting requirements with the Securities and Exchange Commission (the “Commission”) pursuant to Sections 13 and 15(d) of the Securities and Exchange Act of 1934, as amended (the “Exchange Act”); and, Qest Consulting Group, Inc., a Colorado corporation (“Qest Consulting”; the Client and Qest Consulting being hereinafter collectively referred to as the "Parties" and generically as a "Party") and is joined into by the individuals listed on the signature page as guarantors, each of which hereby jointly and severally guarantees the obligations hereinafter assumed hereby by the Client.
