This Intergovernmental Agreement (“Agreement”), dated January ___, 2008, is between the City of Portland, a municipal corporation of the State of Oregon, acting by and through its Elected Officials (“City”) and Oregon Health & Science University (“OHSU”), a public corporation of the State of Oregon, for the purposes of guaranteeing that certain improvements to the OHSU Schnitzer Property (“Site”) that Cirque du Soleil (“Cirque”) installs will be removed by December 31, 2010.
