THIS AMENDED AND RESTATED GUARANTY AGREEMENT (this “Guaranty Agreement”) is made as of , 2015, by and among the COUNTY OF SUMMIT, OHIO, a county and political subdivision organized and validly existing under the laws of the State of Ohio and its Charter (the “County”), the CITY OF AKRON, OHIO, a municipal corporation duly organized and validly existing under the laws of the State of Ohio and its Charter (the “City,” and together with the County, collectively, the “Guarantors”), and FIFTH THIRD BANK, a bank organized and validly existing under the laws of the State of Ohio (the “Bank”).
