This Settlement Agreement (this “Agreement”) is made by and between Charter Communications, Inc. (“Charter”), on the one hand, and the New York State Department of Public Service (the “Department”) and the New York State Public Service Commission (the “Commission”), on the other hand (Charter, the Department, and the Commission, collectively, the “Parties”). This Agreement shall be dated, and shall be fully effective as to Charter and the Department, as of the date on which it has been executed by Charter and the Department, that is, the_ 19th day of April, 2019 (the “Effective Date”); and this Agreement shall be effective as to the Commission on the Modification Date, as that term is defined in Paragraph 2 below. Certain portions of this Agreement shall be effective as to the Commission as of the Effective Date as set forth in Paragraph 22 below.
