AMENDMENT TO CREDIT AND GUARANTY AGREEMENT (this “Amendment”), dated as of May 2 , 2023, by and among GATEWAY CASINOS & ENTERTAINMENT LIMITED, a corporation formed under the laws of Canada (the “Borrower”), GTWY HOLDINGS LIMITED, a corporation formed under the laws of Canada (“Holdings”), the subsidiaries of the Borrower party to the Existing Credit Agreement (as defined below), as guarantors (together with Holdings, the “Guarantors” and, together with the Borrower, the “Credit Parties”), and the Lenders (as defined below) party hereto constituting the Requisite Lenders.
