This Limited Assignment Agreement (this “Assignment Agreement”) is entered into as of [ ] by and among Bowerman Power LFG, LLC, a Delaware limited liability company (“PPA Seller”); City of Anaheim, a municipal corporation organized and existing under the laws of the State of California (“Anaheim”); and Southern California Public Power Authority, a public entity and joint powers authority formed and organized pursuant to the California Joint Exercise of Powers Act (California Government Code section 6500, et seq.) (“SCPPA”). This Assignment Agreement relates to that certain Renewable Power Purchase and Sale Agreement entered into by and between Anaheim and PPA Seller on March 14, 2014, as amended from time to time (the “PPA”), and to the Limited Assignment Agreement (Bowerman Power Project) of even date herewith (the “SCPPA Assignment Agreement”) among PPA Seller; SCPPA; and J.
