Reference is made to (a) the Second Amended and Restated Video-On-Demand License Agreement, dated as of September 28, 2012 (as amended, restated, supplemented or otherwise modified from time to time, the “VOD Agreement”), by and between Culver Digital Distribution Inc. (“Licensor”) and Microsoft Corporation (“Licensee”), and (b) the Third Amended & Restated DHE License Agreement, dated as of September 28, 2012 (as amended, restated, supplemented or otherwise modified from time to time, the “DHE Agreement”), by and between Licensor and Licensee. Capitalized terms used and not defined herein have the meanings ascribed to them in the VOD Agreement or the DHE Agreement, as applicable.
