THIS REPRESENTATIVE AGREEMENT (this "Agreement") is executed between (1) ENRON JAPAN CORP. ("EJC"), a Japanese incorporated company and (2) ENRON CAPITAL & TRADE RESOURCESNORTH AMERICA CORP. ("ECTENA"), a Delaware corporation having its headquarters in Houston, Texas. ENA ECT and EJC are each referred to herein as a "Party”.
