This letter agreement (“Letter Agreement”), when executed by CPT Holdings, Inc. (“Licensor”) and Turner International, Inc. (“Licensee”) (“Licensor” and “Licensee ” each individually a “Party,” and collectively, the “Parties”) shall confirm and codify the understanding between the Parties with regard to Licensee's licensing of (i) eighty-eight (88) films, (ii) the television mini-series “BROKEN TRAIL” and “BAG OF BONES”, and (iii) Seasons 1 and 2 of the series “THE CHOSEN”, each as specified in Exhibit 1 (the “Programs”), from Licensor for exhibition on the the “Licensed Services” as more particularly described below.
