Each named subscriber in Appendix “A” (individually, a “Subscriber”) hereby irrevocably subscribes for Class F units or Class A units (the “Units”) of the funds set out below (each a “Fund”, and together the “Funds”) for that number of Units of the applicable Fund and in the amount indicated in the attached Appendix “A” to this Subscription Agreement and on the terms and conditions set out in the offering memorandum of the Fund(s) (as applicable) as dated below (the “Offering Memorandum”), as it may be amended from time to time. Each Subscriber subscribing for Units of the Funds shall be known by the name for that Subscriber set out in Appendix “A” to this Subscription Agreement or such other name as the Manager may from time to time designate by replacing Appendix “A” only with the proper instruction and direction of the Subscriber’s Agent (defined below).
