This REGISTRATION RIGHTS AGREEMENT (this “Agreement”) is made and entered into as of May 22, 2016, by and between TRIBUNE PUBLISHING COMPANY, a Delaware corporation (the “Company”), and NANT CAPITAL, LLC, a Delaware limited liability company (the “Holder”).
