THIS AGREEMENT is made this 15th day of August, 2004 by and between Frontier Communications of Lakeside, Inc. an Illinois corporation, with offices at 180 S. Clinton Avenue, Rochester, NY 14646 (referred to as “Frontier”), and United States Cellular Corporation, a Delaware corporation, having its principal place of business at 8410 West Bryn Mawr Ave, Suite 700, Chicago, IL. 60631-3486 (referred to as “US Cellular”) and all of its subsidiaries that are (i) consolidated with US Cellular for financial reporting purposes, (ii) licensed by the Federal Communications Commission to provide wireless radio and other services associated with subscriber accounts. US Cellular and Frontier may also be referred to herein collectively as the “Parties” and singularly as “Party”.
