This CLASS ACTION SETTLEMENT AGREEMENT (“Settlement Agreement”) is entered into by and between Plaintiffs (as defined herein) in the above-captioned Action for themselves and on behalf of the Settlement Class (as defined herein), on the one hand, and Defendants (as defined herein), on the other hand, in consideration of the promises, covenants and agreements herein described and for other good and valuable consideration acknowledged by each of them to be satisfactory and adequate.
