The company’s constitution comprised in its Articles of Association (the Articles) forms the basis of a statutory contract between the shareholders and the company and between the shareholders themselves. It is binding upon anyone who acquires shares and can be enforced by a shareholder if there is a breach of his rights as a shareholder. It cannot be set aside for misrepresentation or undue influence and the court cannot imply any terms into it. Moreover it can be amended by a 75% majority of shareholders present and voting at a members meeting rendering vulnerable a minority shareholder. The Articles are a public document and accordingly, available for anyone to obtain a copy from the Companies House register. A shareholders’ agreement on the other hand is a private document.
