This Economic Development Agreement and Performance (“Agreement”) is made and entered into by the Benbrook Economic Development Corporation and Sam and Cynthia Shipley Family, LP (“Shipley”) and American Masonry Supply, Inc. (“AMS”). The Benbrook Economic Development Corporation (the “BEDC”) is a nonprofit corporation organized under the Development Corporation Act of 1979, codified in Subtitle C1 of Title 12 of the Texas Local Government Code (Chapters 501 through 505) (the “Act”) for the purposes and considerations stated below:
