Exhibit A: OwnershipOwnership Agreement • July 25th, 2013
SwapEx, LLC (the “SEF”) is a Delaware limited liability company formed on March 27, 2012. SwapEx Limited (“SwapEx Ltd”) is the sole member of the SEF and owns 100% of the authorized and issued limited liability company interests of the SEF. State Street Corporation (“SSC”) is the sole shareholder of SwapEx Ltd and owns 1 ordinary share of SwapEx Ltd. The Amended and Restated Limited Liability Company Agreement of SwapEx, LLC (the “Operating Agreement”), which is attached hereto as Exhibit A-1, describes the organization and ownership of the SEF. Except as expressly set forth in the Operating Agreement, the Board of Directors of the SEF has the full, exclusive and complete discretion to manage and control the business and affairs of the SEF, to make all decisions affecting the business and affairs of the SEF and to take all such actions as it deems necessary or appropriate to accomplish the purposes of the SEF, as set forth in the Operating Agreement.
