This EMPLOYMENT AGREEMENT (this “Agreement”) is made and entered into this 18th day of June, 2012, between Theodore S. Roman (“Employee”) and National Patent Development Corporation ( “Parent”). This Agreement is expressly conditioned upon the occurrence of the Closing (as such term is defined in the Merger Agreement); should the Closing not occur, this Agreement shall be void and of no force or effect.
