made and entered into as of [CLOSING DATE], by and between THE SCHOOL BOARD OF BROWARD COUNTY, FLORIDA (the “School Board”), acting as the governing body of the School District of Broward County, Florida (the “District”), and U.S. BANK NATIONAL ASSOCIATION, a national banking association duly organized and existing under the laws of the United States of America and having corporate trust offices in Miami, Florida, as escrow agent (the “Escrow Agent”).
