This Intellectual Property Agreement (“AGREEMENT”) is entered into as of the day of 2001 (“EFFECTIVE DATE”) by and between SyncML Initiative, Ltd. (the "Company"), on behalf of itself and each of the existing MEMBERS of the SyncML Initiative ("SyncML" or the "SyncML Initiative"), and the MEMBER identified in the signature page below (the "Licensing Member").
