THIS AGREEMENT, dated as of , 2024 (the “Agreement”), is made and entered into by and between the CITY OF CHULA VISTA, a charter city duly organized and validly existing under the Constitution and laws of the State of California, (the “City”), COMMUNITY FACILITIES DISTRICT NO. 2024-1 (Citrus Bay), a community facilities district formed and existing pursuant to the laws of the State of California (the “CFD No. 2024- 1”), and CWC BROADWAY CV 256 LLC, a Delaware limited liability company (the “Developer”).
