FINAL December 21, 2000 AMENDED AND RESTATED LICENSE AGREEMENT THIS AMENDED AND RESTATED LICENSE AGREEMENT (“Agreement”), is dated as of December 21, 2000 (the “Effective Date”) by and between MacMark Corporation, a Delaware corporation (“MacMark”), Equilink Licensing Corporation, a Delaware corporation (“Equilink”) and Sport Supply Group, Inc., a Delaware corporation (“SSG”). WITNESSETH: WHEREAS, MacMark is the owner of the Trademarks (as defined below); WHEREAS, Equilink has exclusive rights to use and license the Trademarks (as defined below), except for such rights granted to SSG by this Agreement and the rights granted pursuant to the Other License Agreements (as defined below); WHEREAS, MacMark, Equilink and BSN Corp.
