ADR Notice has the meaning given to it in clause 20.4; Affiliate means any entity that directly or indirectly controls, is controlled by or is under common control with, another entity, and in this context “control” means the beneficial ownership of more than 50% of the issued share capital of a company or the legal power to direct or cause the direction of the management of the company; Business Improvement District Area means the area defined on the map set out in Schedule 2, and“BID Area” shall be construed accordingly; Business Day means a day other than a Saturday, Sunday or bank or public holiday in Scotland; Change Control Request means a written notice prepared in accordance with Clause11.4 served on the Contractor or the Client by the other party which requests a variation to the Agreement;
