This ELECTRIC ENERGY SERVICES AND SALES AGREEMENT (this “Agreement”) is entered into as of [insert signing date] (the “Effective Date”), by and between ENRON ENERGY SERVICES, INC., a Delaware corporation (“EESI”), and SBC SERVICES, INC. a Delaware corporation (“SBC”). EESI and SBC are sometimes referred to herein individually as a “Party” and collectively as the “Parties.” Capitalized terms used herein but not defined where they appear in the Agreement are defined on Exhibit A.. This Agreement consists of this paragraph, the following Articles and Sections, and includes all of the exhibits and schedules [referenced herein] or attached hereto and which are hereby made a part hereof. For good and valuable consideration, the receipt of which is hereby acknowledged, the Parties, intending to be legally bound, hereby agree as follows:
