The undersigned, Clayton Holdings, LLC, a Missouri limited liability company (the “Purchaser”), hereby offers to purchase from the City of Westwood, Kansas (the “City”), a municipal corporation organized and existing under the laws of the State of Kansas (the “State”), $8,000,000 aggregate maximum principal amount of Industrial Revenue Bonds (Midwest Transplant Network, Inc. Project), Series 2014A (the “Bonds”), to be issued by the City under and pursuant to a Bond Trust Indenture dated as of January 1, 2014 (the “Bond Indenture”), between the City and Commerce Bank, Kansas City, Missouri, as bond trustee (the “Bond Trustee”). The Bonds are to be issued by the City, pursuant to and in accordance with the provisions of K.S.A. 12-1740 to 12-1749d, inclusive, as amended from time to time (the “Act”).
