This Agreement (“Agreement”) shall be deemed effective as of May 25, 2007 (the “Effective Date”), between Ygnition Networks, Inc. (“Ygnition”), a corporation organized under the laws of the State of Washington, with offices at 565 Andover Park West #201, Seattle, WA 98188 and Verizon Pennsylvania Inc. (“Verizon”), a corporation organized under the laws of the Commonwealth of Pennsylvania with offices at 1717 Arch Street, Philadelphia, PA 19103 (Verizon and Ygnition may be referred to hereinafter, each, individually as a “Party”, and, collectively, as the “Parties”).
