THIS AMENDMENT NO. 1 TO THE AGREEMENT BETWEEN THE CITY OF SEATTLE AND AVANTE SOLUTIONS, INC. FOR SERVICE DESK SYSTEM dated January 8, 2003 (this “Amendment”) is made as of January 1, 2005 (the “Effective Date”), by and between Avante Solutions, Inc., an Illinois corporation and authorized to do business in the State of Washington (the “Vendor”), The City of Seattle, a municipal corporation of the State of Washington (the “City”). Unless otherwise indicated herein, each capitalized term used herein shall have the meaning set forth in the Agreement (as defined below).
