This Agreement is entered into effective as of 01/19/2021 between NG Companies (the “Company”) and Digital-55, LLC. (“Recipient”). Recipient is acting as an expert advising the Company in connection with various development project, and for that purpose the Company may make certain Confidential Information (as defined below) available to the Recipient (the "Purpose"). As a condition to, and in consideration of, the Company's furnishing of Confidential Information to the Recipient, the Recipient agrees to the restrictions and undertakings contained in this Agreement.
